1. Acceptance of Terms

By accessing or using GProv's website, applications, and services (collectively, the "Service"), operated by Kollitech LLC you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. We may update these Terms from time to time; continued use after changes constitutes acceptance. We will provide notice of material changes at least 30 days in advance through email or in-app notification. Certain features may be subject to additional terms or policies.

2. Description of Service

GProv is an AI-powered informational and navigational platform that helps users find healthcare providers, access general wellness information, store and manage health-related data, and coordinate referrals. The Service is for educational and navigational purposes only and does not constitute medical advice, diagnosis, or treatment. We support—not replace—the role of licensed healthcare professionals.

3. No Medical Advice; User Responsibility

The Service, including all AI-generated content, is informational only. GProv does not provide medical advice. You acknowledge and agree that:

• AI-generated content may be inaccurate, incomplete, or outdated. GProv is not responsible for any such inaccuracies.
• You will perform your own due diligence and seek the advice of a licensed medical professional before making any healthcare decisions.
• You are solely responsible for how you use the Service and for any decisions you make based on it.
• In a medical emergency, you will contact 911 or your local emergency number immediately.
• GProv does not establish a doctor-patient relationship between you and any provider listed on or using the platform.

4. Eligibility and Account

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract to use the Service. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. You must provide accurate information and update it as needed. You agree to notify us immediately of any unauthorized use of your account.

5. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose or in violation of applicable laws.
• Impersonate any person or entity or misrepresent your affiliation.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Interfere with or disrupt the Service or the integrity of our data.
• Scrape, harvest, or use automated means to collect data from the Service without permission.
• Use the Service to harm, harass, or endanger others or to distribute malicious content.
• Upload or transmit viruses, malware, or any other harmful code.
• Reverse engineer, decompile, or disassemble any part of the Service.
• Use the Service to transmit unsolicited commercial communications (spam).

We may suspend or terminate your access if we reasonably believe you have violated these Terms or applicable law. We reserve the right to remove any content that violates these Terms.

6. Your Content and Data

You retain ownership of content and data you submit. You grant us a limited, non-exclusive, worldwide, royalty-free license to use, store, process, and display that content and data solely as necessary to provide and improve the Service, in accordance with our Privacy Policy. You are responsible for the accuracy and lawfulness of what you submit. We may remove content that violates these Terms or that we deem harmful to the Service or others. Upon account deletion, we will delete your content in accordance with our data retention policies and applicable law.

7. Healthcare Provider Terms

If you are a healthcare provider using the Service, you acknowledge that: (a) you are solely responsible for the care you provide and all clinical decisions; (b) GProv does not practice medicine or provide clinical oversight; (c) you will maintain all required licenses, certifications, and malpractice insurance; (d) you will comply with all applicable healthcare laws, regulations, and professional standards, including HIPAA; and (e) you are responsible for verifying the accuracy of any information obtained through the platform before relying on it for clinical purposes.

8. Intellectual Property

GProv, Kollitech LLC, and their licensors own all rights in the Service, including software, design, text, graphics, logos, and branding. All trademarks, service marks, and trade names are the property of their respective owners. You may not copy, modify, distribute, or create derivative works from our materials without our prior written consent. Limited use for personal, non-commercial purposes in connection with your use of the Service is permitted.

9. Copyright and DMCA

We respect the intellectual property rights of others. If you believe that content on the Service infringes your copyright, please send a notice to legal@gprov.com that includes: (a) identification of the copyrighted work; (b) identification of the infringing material and its location on the Service; (c) your contact information; (d) a statement of good faith belief; (e) a statement of accuracy under penalty of perjury; and (f) your physical or electronic signature. We will respond to valid DMCA notices in accordance with applicable law.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We disclaim all warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components. We specifically disclaim any responsibility for the accuracy, completeness, or usefulness of AI-generated or other content on the Service. You use the Service and any content at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOLLITECH LLC (D/B/A PAMKIT), ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR HEALTH-RELATED OUTCOMES) ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING RELIANCE ON AI-GENERATED OR OTHER CONTENT. OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR ONE HUNDRED U.S. DOLLARS ($100). THESE LIMITATIONS APPLY REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE). Some jurisdictions do not allow certain limitations; in such cases, our liability will be limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless Kollitech LLC and its affiliates and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your content or data; (c) your violation of these Terms; (d) your violation of any third-party rights or laws; or (e) any claim that your content caused damage to a third party.

13. Third-Party Services and Providers

The Service may link to or integrate with third-party services, websites, or healthcare providers. We do not control and are not responsible for their content, privacy practices, or terms. Your interactions with third parties (including providers you find through GProv) are between you and them. We do not guarantee the quality, licensing, or suitability of any provider; you must perform your own due diligence and consult licensed professionals for care. Third-party services are subject to their own terms and privacy policies.

14. Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good faith negotiation for a period of 30 days. If the dispute cannot be resolved through negotiation, it shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in the State of California, or at the election of the claimant, by telephone or video conference.

Class action waiver: YOU AND KOLLITECH LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Exceptions: Either party may bring claims in small claims court. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Nothing in this section limits your rights under consumer protection laws in your jurisdiction that cannot be waived by agreement.

15. Termination

You may stop using the Service at any time by deleting your account through your profile settings or contacting us. We may suspend or terminate your account or access with or without notice if we believe you have violated these Terms, for other operational or legal reasons, or if required by law. Upon termination, your right to use the Service ceases. We will handle your data in accordance with our Privacy Policy and applicable data retention requirements. Provisions that by their nature should survive (e.g., disclaimers, limitation of liability, indemnification, arbitration) will survive termination.

16. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles. To the extent that arbitration does not apply, you consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California. You may also have rights under consumer protection laws in your jurisdiction.

17. Force Majeure

Neither party shall be liable for any failure or delay in performing obligations under these Terms due to causes beyond its reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, riots, government actions, power failures, internet or telecommunications failures, or cyberattacks.

18. General Provisions

These Terms constitute the entire agreement between you and Kollitech LLC regarding the Service and supersede all prior agreements and understandings. Our failure to enforce any right or provision does not waive that right or provision. If any provision is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable. We may assign our rights and obligations under these Terms; you may not assign without our prior written consent. Section headings are for convenience only and have no legal effect.
